DAU and DUPONT received approval for a merger from the European Commission

DUPONT and DOW  announced that the European Commission has approved the merger of the two companies on an equal shares basis, subject to certain conditions. This approval is a significant step towards the completion of the merger transaction and the future creation of three strong, independent companies.

In the long term, the establishment of these companies will be of even greater benefit to shareholders and customers and will provide new opportunities for employees, as each company will be a leader in the respective segments where global challenges drive demand for its products. One of the new companies, whose name is yet to be announced, will be entirely focused on Agribusiness and will combine the crop protection products and brands of DOW and DUPONT, as well as the seeds of DOW and PIONEER.

The approval of the European Commission is conditional upon the fulfilment of the commitments undertaken by DUPONT and DOW in connection with the merger. Both companies believe that the position of the European Commission is conducive to maintaining a competitive environment and is consistent with the strategic rationale and potential benefits of such a transaction.    

More specifically, DUPONT will divest its herbicides for broadleaf weed control in cereal crops and part of its insecticides, together with the related research and development activities and production facilities.  DUPONT is currently negotiating the sale of the above-mentioned assets.

DUPONT will retain the business and research and development activities related to seed treatment, nematicides, fungicides and products that are in the final stage of development. These products and projects will be fully developed and launched on the market.

Following the divestment of part of DUPONT’s crop protection business, the newly created company will maintain its strong market position, which includes a broad portfolio of herbicides for the control of grass and broadleaf weeds in maize, soybean and cereal crops, the reliable and well-established disease control products of DuPont, as well as the crop protection products of Dow AgroSciences. In this way, the new company will be able to offer farmers a complete range of crop protection products, seeds and innovative solutions that provide opportunities for a wide choice and improved productivity.

Both companies continue to work constructively with the regulatory authorities in the respective jurisdictions in order to obtain final global clearance for the merger, which they are confident will be achieved.
